TERMS OF USE

WHEREAS, CarCare24x7 Inc., a Canadian corporation ("CarCare24x7," "we," "us," or "our"), operates and provides mobile applications, websites, and related services (collectively, the "Services"); and

WHEREAS, these Terms of Use (the "Terms") constitute a legally binding agreement between you and CarCare24x7 governing your access to and use of the Services; and

WHEREAS, by accessing, downloading, installing, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and Data & Security Statement; and

WHEREAS, if you do not agree to these Terms, you must immediately cease all use of the Services and discontinue access thereto;

NOW, THEREFORE, these Terms are effective as of the date you first access or use the Services and will remain in effect until terminated in accordance with the provisions set forth herein.

2.1 Services Provided CarCare24x7 provides a digital platform that connects vehicle owners with certified garages and mechanics. Our Services include:

• Mobile applications (Torqon for vehicle owners and Torqon Wrench for garages)
• Web-based platforms and dashboards
• Service booking and scheduling functionality
• Payment processing and transaction management
• Real-time service tracking and communication
• AI-powered customer support and vehicle diagnostics
• Vehicle maintenance records and history

2.2 Service Modifications We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3.1 Eligibility To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations

3.2 Registration To access certain features of the Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain and update your information to keep it accurate
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

4.1 Account Security You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4.2 Account Suspension We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4.3 Multiple Accounts You may not create multiple accounts or use another person's account without authorization. Each user is limited to one account per person or entity.

5.1 Permitted Use You may use our Services solely for lawful purposes and in accordance with these Terms. You agree to use the Services only for their intended purpose of connecting vehicle owners with automotive service providers.

5.2 License Grant Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or business use.

5.3 Restrictions You may not:

• Copy, modify, or create derivative works of the Services
• Reverse engineer, decompile, or disassemble the Services
• Remove any copyright or proprietary notices
• Use the Services for any commercial purpose without our express written consent
• Transfer or sublicense your rights to use the Services

You agree not to engage in any of the following prohibited activities:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Collect or harvest information about other users
• Impersonate any person or entity or misrepresent your affiliation
• Use the Services to transmit spam, unsolicited messages, or advertising
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, or harm other users
• Use automated systems to access the Services without authorization

8.1 Ownership All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of CarCare24x7 or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Trademarks The CarCare24x7 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CarCare24x7 or its affiliates or licensors. You may not use such marks without our prior written permission.

8.3 User Content You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content.

You agree to indemnify, defend, and hold harmless CarCare24x7, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

11.1 Termination by You You may terminate your account at any time by contacting us at contact@carcare24x7.com or through your account settings.

11.2 Termination by Us We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

11.3 Effect of Termination Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Toronto, Ontario, Canada.

13.1 Informal Resolution Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@carcare24x7.com. We will try to resolve the dispute informally within 60 days.

13.2 Binding Arbitration If we cannot resolve the dispute informally, you and CarCare24x7 agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth below.

13.3 Exceptions You may opt out of arbitration within 30 days of first accepting these Terms by sending us written notice. Small claims court actions are not subject to arbitration.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to registered users
• Displaying a prominent notice on our website or mobile applications

Your continued use of the Services after such changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services.
